Una de las preguntas m\u00e1s provocadoras sobre el cumplimiento de la Ley de Transparencia Empresarial (CTA) se refiere a si una empresa individual que opera bajo un nombre “Haciendo negocios como” (DBA) debe presentar el Reporte de due\u00f1o<\/span> Beneficiario (BOI ).<\/p>\n

Aunque puede haber opiniones que afirmen que las DBA est\u00e1n sujetas a la obligaci\u00f3n de informar, FINCEN ha dejado la respuesta inequ\u00edvocamente clara y sin lugar a dudas<\/a>.<\/p>\n

<\/strong><\/p>\n

Empresarios individuales y criterios de la empresa declarante<\/strong><\/p>\n

Seg\u00fan la CTA, una entidad puede considerarse “empresa declarante” si se crea mediante la presentaci\u00f3n de un documento ante un secretario de estado o una oficina similar en Estados Unidos<\/strong>, o si es una entidad extranjera registrada para hacer negocios en EE.UU. Las empresas unipersonales, incluidas las que operan bajo un nombre DBA, no suelen cumplir este umbral. Un nombre DBA en s\u00ed no es una entidad jur\u00eddica independiente<\/strong>, sino un nombre comercial utilizado por un empresario individual para llevar a cabo su actividad.<\/p>\n

Es importante destacar que la mera presentaci\u00f3n de documentos para obtener:<\/p>\n

    \n
  1. Un n\u00famero de identificaci\u00f3n patronal del IRS (EIN),<\/li>\n
  2. Un nombre comercial ficticio (DBA), o<\/li>\n
  3. Una licencia profesional u ocupacional no crea una entidad jur\u00eddica independiente. Por lo tanto, dichas declaraciones no convierten a una empresa individual en una “empresa declarante” con arreglo a la LTC.<\/li>\n<\/ol>\n

    Ejemplo de situaci\u00f3n:<\/strong><\/p>\n

    Considera el caso de “John Smith DBA Smith Landscaping”, una empresa individual que opera en Estados Unidos:<\/p>\n

      \n
    • Actividad de registro:<\/strong> John Smith registra un nombre comercial ficticio (DBA) en la oficina local del condado.<\/li>\n
    • Estructura empresarial:<\/strong> Smith Landscaping sigue siendo una empresa unipersonal sin constituci\u00f3n ni estructura de responsabilidad limitada.<\/li>\n
    • Requisito de cumplimiento:<\/strong> Dado que no se presentaron documentos de constituci\u00f3n ante un secretario de estado u oficina equivalente, el DBA no crea una nueva entidad.<\/li>\n<\/ul>\n

      En consecuencia, Smith Landscaping no se considera una “empresa declarante” y est\u00e1 exenta de la obligaci\u00f3n de informar al BOI.<\/p>\n

      <\/strong><\/p>\n

      Relevancia para los profesionales fiscales<\/strong><\/p>\n

      Los profesionales fiscales deben actuar con diligencia a la hora de determinar si la entidad empresarial de un cliente da lugar a la obligaci\u00f3n de informar sobre la declaraci\u00f3n de la renta. En el caso de las empresas unipersonales que operan bajo un DBA, la consideraci\u00f3n clave es si la entidad empresarial se constituy\u00f3 mediante declaraciones formales ante las autoridades estatales. En ausencia de tales declaraciones, estas entidades suelen quedar fuera del \u00e1mbito de aplicaci\u00f3n de los requisitos de informaci\u00f3n de la CTA.<\/p>\n

      Este an\u00e1lisis subraya la importancia de comprender las estructuras de las entidades y los requisitos de registro a la hora de asesorar a los clientes sobre el cumplimiento de la obligaci\u00f3n de declarar. Para las empresas unipersonales que operan con un DBA, la respuesta es muy directa e inequ\u00edvoca: sin una constituci\u00f3n o registro a nivel estatal, no se aplica la obligaci\u00f3n de presentar el reporte BOI.<\/p>\n
